User Responsibility and Disclaimer

You are solely responsible for your use of TallyFox and all decisions made based on information provided by our service.

TallyFox provides tools and information to help you organize and analyze your receipts and expenses. However, you acknowledge and agree that:

• You are solely responsible for verifying the accuracy of all information processed by TallyFox
• You are solely responsible for determining which expenses qualify as tax deductions under applicable tax laws
• You are solely responsible for preparing and filing your tax returns with the IRS or any other tax authority
• TallyFox does not provide tax, legal, or financial advice
• You should consult with a qualified tax professional or accountant before filing your taxes
• TallyFox is not responsible for any errors, omissions, or inaccuracies in your tax filings
• You are responsible for maintaining proper records and documentation for all expenses

By using TallyFox, you acknowledge that you understand these responsibilities and agree to use the service at your own risk. TallyFox shall not be liable for any tax penalties, interest, or other consequences resulting from your use of the service or your tax filings.

Account Suspension and Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms of Service
• Abuse of the service or any of its features
• Fraudulent activity or misrepresentation
• Attempts to circumvent or interfere with the service's security measures
• Use of the service for illegal purposes
• Harassment or abuse of other users or TallyFox staff
• Any other conduct we deem harmful to the service or its users

Upon termination, your right to use the service will immediately cease. We may delete your account and all associated data at our discretion. We are not obligated to provide you with a copy of your data upon termination, though we may do so at our sole discretion.

Service Availability and Shutdown

We reserve the right to modify, suspend, or discontinue the service (or any part thereof) at any time, with or without notice, for any reason.

TallyFox is provided on an "as is" and "as available" basis. We do not guarantee that the service will be available at all times or that it will be uninterrupted, secure, or error-free. We may perform maintenance, updates, or modifications that temporarily interrupt service availability.

In the event that we permanently discontinue the service, we will make reasonable efforts to notify users in advance, but we are not obligated to do so. We are not liable for any loss or damage resulting from service interruptions, modifications, or discontinuation.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TALLYFOX AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the service
• Any errors or inaccuracies in the service or data provided
• Any tax penalties, interest, or other consequences resulting from your use of the service
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the service
• Any bugs, viruses, trojan horses, or the like that may be transmitted to or through the service

IN NO EVENT SHALL TALLYFOX'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO TALLYFOX IN THE TWELVE (12) MONTHS PRIOR TO THE ACTION GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:

• The service will meet your requirements or expectations
• The service will be uninterrupted, timely, secure, or error-free
• The results obtained from the use of the service will be accurate or reliable
• The quality of any products, services, information, or other material obtained through the service will meet your expectations
• Any errors in the service will be corrected

User Conduct

You agree not to use the service to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Transmit any harmful, offensive, or inappropriate content
• Attempt to gain unauthorized access to the service or its related systems
• Interfere with or disrupt the service or servers connected to the service
• Use automated systems to access the service without permission
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Collect or store personal data about other users without their consent

Intellectual Property

The service and its original content, features, and functionality are owned by TallyFox and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any data you upload to the service. By uploading data, you grant TallyFox a non-exclusive, worldwide, royalty-free license to use, store, and process your data solely for the purpose of providing the service to you.

Modifications to Terms

We reserve the right to modify these Terms of Service at any time. We will notify users of any material changes by posting the new Terms of Service on this page and updating the "Last Updated" date.

Your continued use of the service after any such modifications constitutes your acceptance of the new Terms of Service. If you do not agree to the modified terms, you must stop using the service.

These Terms of Service shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these terms or your use of the service shall be resolved in the courts of competent jurisdiction in the United States.
